VEHICLE DETAILS

This Vehicle Bill of Sale (this "Agreement") is entered into as of March 10, 2026, by and between James Carter ("Seller") and Priya Mehta ("Buyer"). The parties agree as follows:

Seller hereby sells, transfers, and conveys to Buyer the following motor vehicle: 2019 Toyota Camry Silver Sedan, VIN: 4T1BF1FK5KU234789, in exchange for the sum of $14,500.00, payable by Cash, receipt of which is hereby acknowledged. The Vehicle Identification Number recited above is a seventeen-character identifier consistent with the NHTSA VIN standard at 49 C.F.R. Part 565. The sale of the motor vehicle is a sale of goods governed by Article 2 of the Uniform Commercial Code as enacted in the governing state, including the warranty of good title under UCC Section 2-312, passage of title under UCC Section 2-401, and the good-faith purchaser rule under UCC Section 2-403. If the purchase price is paid in cash and the aggregate amount received by Seller in this transaction equals or exceeds $10,000, Seller acknowledges the obligation to file IRS Form 8300 under 26 U.S.C. Section 6050I within fifteen (15) days of receipt. Buyer shall promptly title, register, and transfer the vehicle with the applicable state motor-vehicle authority, and the Parties shall collect and remit any applicable state and local sales or use tax.

Seller represents and warrants that Seller is the lawful owner of the above-described vehicle, that Seller has full right and authority to sell and transfer the vehicle, and that the vehicle is sold free and clear of all liens, encumbrances, and claims of any kind except as expressly disclosed herein.

Seller states that the odometer of this vehicle reads 52,400 miles and that to the best of Seller's knowledge, this reading reflects the actual mileage of the vehicle. This disclosure is made in compliance with the Federal Odometer Act, 49 U.S.C. Section 32705, and its implementing regulations at 49 C.F.R. Part 580. Knowingly providing a false odometer statement is a federal offense punishable by fine or imprisonment under 49 U.S.C. Section 32709 and may also give rise to civil liability for treble damages or $10,000 per violation (whichever is greater) under 49 U.S.C. Section 32710.

Seller warrants that the vehicle title is clear and free of all liens, encumbrances, or claims of any kind. Seller shall deliver the original certificate of title, properly endorsed, to Buyer at the time of sale.

THE VEHICLE IS SOLD "AS IS" WITH NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY UNDER UCC SECTION 2-314 AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE UNDER UCC SECTION 2-315. THIS DISCLAIMER IS CONSPICUOUS WITHIN THE MEANING OF UCC SECTIONS 2-316(2) AND 2-316(3)(a). Buyer accepts the vehicle in its current condition and Seller makes no representations regarding the condition, fitness for purpose, or merchantability of the vehicle. Buyer has had the opportunity to inspect the vehicle and accepts it in its present condition. This disclaimer is a private-party sale disclaimer and does not apply to any warranty that cannot be excluded by applicable state lemon law (including, where applicable, California's Song-Beverly/Tanner Consumer Protection Act at Cal. Civ. Code Section 1793.22, New York Gen. Bus. Law Section 198-a, Texas Occupations Code Section 2301.601 et seq., and Florida Statutes Section 681.10 et seq.). Where Seller is a licensed dealer rather than a private party, Seller shall additionally comply with the FTC Used Motor Vehicle Trade Regulation Rule (Used Car Rule), 16 C.F.R. Part 455, including display of the required Buyers Guide.

Vehicle includes two sets of keys, original owner's manual, and floor mats.

This Bill of Sale shall be governed by and construed in accordance with the laws of the State of Texas, including that state's enactment of Article 2 of the Uniform Commercial Code and applicable motor-vehicle titling and registration statutes (for example, Cal. Vehicle Code Sections 4150 et seq.; N.Y. Vehicle and Traffic Law Section 2113; Tex. Transportation Code Sections 501.002 et seq.). Any notarial act required or elected in connection with this Bill of Sale shall be performed in accordance with the Revised Uniform Law on Notarial Acts (RULONA) as adopted in the applicable state. Both parties agree to submit to the jurisdiction of the courts of Texas for any disputes arising from this Agreement.
