This Sublease Agreement (this "Agreement") is entered into by and between Alex Morgan Rivera ("Sublessor") and Jamie Chen Williams ("Sublessee"). Sublessor, as the original tenant under a master lease agreement, agrees to sublease to Sublessee the premises described herein, subject to the terms and conditions set forth below.

Important: The Sublessor remains 100% liable to the original Landlord under the Master Lease. If the Sublessee fails to pay rent or damages the property, the Sublessor is responsible to the Landlord.
1.
PREMISES
Sublessor agrees to sublease to Sublessee the entire property located at 742 Evergreen Terrace, San Francisco, CA 94102 (Apartment).
2.
TERM
This sublease shall commence on June 1, 2026 and shall terminate on December 31, 2026. The sublease term shall not extend beyond the expiration date of the Master Lease. The Master Lease expires on January 31, 2027.
3.
RENT
Sublessee shall pay Sublessor monthly rent of $2,200.00, due on the 1st day of each month. A grace period of 5 days shall apply before late fees are assessed. Late payments shall incur a fee of 5% of monthly rent. Payment shall be made by check, electronic transfer, or other method agreed upon by both parties.
4.
MASTER LEASE
This sublease is subject to and subordinate to the Master Lease between Sublessor and Bay Area Properties LLC, dated January 15, 2025. Sublessee agrees to comply with all terms and conditions of the Master Lease that are applicable to the occupant of the Premises. A copy of the Master Lease has been made available to Sublessee for review.
5.
LANDLORD CONSENT
The original Landlord, Bay Area Properties LLC, has provided written consent for this sublease arrangement as required by the Master Lease and, where applicable, by statute (including N.Y. Real Prop. Law § 226-b (landlord may not unreasonably withhold consent), the “Roommate Law” N.Y. Real Prop. Law § 235-f, and Cal. Civ. Code § 1995.260 for commercial contexts). Such consent does not relieve Sublessor of any obligations under the Master Lease, and Sublessor remains joint-and-severally liable with Sublessee to Landlord. Sublessor shall provide Sublessee with a copy of the written consent upon request.
6.
SECURITY DEPOSIT
Sublessee shall provide a security deposit of $2,200.00 upon execution of this Agreement. The deposit shall be returned within 21 days after termination of this sublease, less any deductions for unpaid rent, damages beyond normal wear and tear, or cleaning costs as permitted by the laws of the State of California.
7.
DEFAULT AND REMEDIES
In the event Sublessee fails to pay rent when due, Sublessor shall provide written notice of the default. Sublessee shall have 5 days to cure a monetary default. For non-monetary defaults, Sublessee shall have 30 days to cure after written notice. If the default is not cured within the applicable period, Sublessor may pursue all remedies available under the laws of the State of California, including termination of this sublease. The prevailing party in any legal action arising from this Agreement shall be entitled to recover reasonable attorney fees and court costs from the non-prevailing party.
8.
LEAD-BASED PAINT DISCLOSURE
The year of construction of the Premises is unknown. As a precautionary measure, Sublessor provides this disclosure: Sublessor has no knowledge of lead-based paint or lead-based paint hazards in the Premises. Sublessee has been provided with the EPA pamphlet "Protect Your Family From Lead in Your Home."
9.
SUBLESSOR LIABILITY AND MASTER LEASE LIMIT
Sublessor remains primarily and jointly-and-severally liable to the original Landlord for all obligations under the Master Lease, including rent, damages, and any breach by Sublessee, for the entire duration of the sublease term, unless a written novation is executed by the Landlord. A sublease does not, under established landlord-tenant law, release the prime tenant absent such a novation. Sublessee shall comply with all applicable terms of the Master Lease and shall not cause or permit any act that would constitute a default thereunder. The term of this sublease shall not exceed the unexpired term of the Master Lease; any purported extension beyond that date is void.
10.
FAIR HOUSING AND NON-DISCRIMINATION
The selection of any sub-subtenant, replacement occupant, or roommate under this Agreement shall comply with the federal Fair Housing Act, 42 U.S.C. §§ 3601–3619, and its implementing regulations at 24 C.F.R. Part 100, which prohibit discrimination on the basis of race, color, national origin, religion, sex (including gender identity and sexual orientation), familial status, or disability. State and local protected-class and source-of-income laws of the State of California are incorporated by reference.
11.
CONDITION OF PREMISES
Sublessee accepts the Premises in its current "as-is" condition. Sublessee shall maintain the Premises in good condition during the sublease term and shall return the Premises in the same condition as received, normal wear and tear excepted. Sublessee shall not make any alterations, modifications, or improvements without the prior written consent of both Sublessor and the original Landlord.
12.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any legal action arising under this Agreement shall be brought in the courts of the county in which the Premises is located.
13.
ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements. No amendment or modification shall be effective unless in writing and signed by both parties.
