SALE OF VEHICLE
Marcus Johnson ("Seller") hereby sells, transfers, and conveys to Emily Chang ("Buyer") the above-described motorcycle (hereinafter referred to as the "Vehicle") in exchange for the total sum of $18,500.00, payable by Cash, receipt of which is hereby acknowledged by Seller. Title shall pass to Buyer pursuant to UCC §2-401. This Bill of Sale constitutes a signed writing satisfying UCC §2-201 (Statute of Frauds) and is intended to accompany the signed certificate of title required by the applicable state motor vehicle code (e.g., Cal. Veh. Code §§4150 et seq.; N.Y. Veh. and Traf. Law §2113; Tex. Transp. Code §§501.002 et seq.).

SELLER'S REPRESENTATION
Seller represents and warrants, consistent with the implied warranty of title under UCC §2-312, that: (a) Seller is the lawful owner of the above-described Vehicle; (b) Seller has full right, power, and authority to sell and transfer said Vehicle; (c) the Vehicle is free and clear of all liens, encumbrances, security interests, and claims of any kind, except as specifically disclosed herein; and (d) Seller will defend Buyer's title to the Vehicle against any and all claims and demands. The Vehicle Identification Number set forth above is the VIN assigned by the manufacturer pursuant to 49 C.F.R. Part 565 and has not been altered, removed, or defaced.

FEDERAL ODOMETER DISCLOSURE
In compliance with the Federal Odometer Act (49 U.S.C. §32705) and 49 C.F.R. Part 580, Seller hereby certifies that the odometer of the above-described Vehicle reads 12,500 miles and, to the best of Seller's knowledge, this reading reflects the actual mileage of the vehicle. Federal law requires disclosure for motorcycles as for other motor vehicles within the statutory age and weight limits; providing a false statement is punishable by fines and/or imprisonment under 49 U.S.C. §32709.

TITLE AND LIEN STATUS
Seller warrants that the certificate of title for the Vehicle is clear and free of all liens, encumbrances, or claims of any kind. Seller shall deliver the original certificate of title, properly endorsed and assigned, to Buyer at the time of sale.
5.
WARRANTY AND CONDITION
THE VEHICLE IS SOLD "AS IS, WITH ALL FAULTS" AND WITH NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTY OF MERCHANTABILITY (UCC §2-314) AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE (UCC §2-315). This disclaimer is made conspicuously in compliance with UCC §2-316(3)(a). Buyer acknowledges having had the opportunity to inspect the Vehicle (or to have it inspected by a qualified mechanic) and accepts it in its present condition. Seller shall not be liable for any repairs, defects, or issues arising after the date of sale.
6.
ACCESSORIES AND INCLUDED ITEMS
The following accessories and items are included as part of this sale and are transferred to Buyer along with the Vehicle: Two helmets, leather saddlebags, windshield, motorcycle cover, spare key.
7.
ADDITIONAL TERMS AND DISCLOSURES
Seller provides all service records from authorized Harley-Davidson dealership. Buyer has test-ridden the motorcycle prior to purchase.
8.
TAX AND REPORTING OBLIGATIONS
Each party is responsible for its own tax obligations arising from this sale, including any gain or loss reported under Internal Revenue Code §1001. Buyer acknowledges responsibility for any applicable state or local sales/use tax and for title, registration, and, where required, motorcycle helmet or operator-endorsement compliance under the laws of the titling state. Cash payments of $10,000 or more received by a person in the course of a trade or business must be reported to the IRS on Form 8300 pursuant to IRC §6050I.
9.
GOVERNING LAW
This Bill of Sale shall be governed by and construed in accordance with the laws of the State of Florida, including that State's enactment of Article 2 of the Uniform Commercial Code and applicable motor vehicle titling statutes. Both parties agree to submit to the exclusive jurisdiction of the courts located in the State of Florida for any disputes arising out of or related to this agreement.
