This Letter of Resignation (this "Letter") is entered into as of April 15, 2025 by Sarah Mitchell ("Employee") addressed to David Chen at Apex Digital Solutions Inc. ("Employer").

NOTICE OF RESIGNATION
Dear David Chen,

This letter serves as my formal two (2) weeks notice of resignation from my position as Senior Marketing Manager at Apex Digital Solutions Inc.. My resignation is effective as of April 15, 2025, and my last day of work will be April 29, 2025.

REASON AND GRATITUDE
I have made this decision to pursue a new career opportunity that aligns with my long-term professional goals. Please understand that this was not an easy decision, and I am deeply grateful for the professional growth, mentorship, and opportunities that Apex Digital Solutions Inc. has provided throughout my employment.

COMMITMENT TO TRANSITION
During my remaining time with the company, I am fully committed to ensuring a smooth and orderly transition of my duties and responsibilities. I will make every effort to complete outstanding tasks, document ongoing projects, and assist in any way necessary to minimize disruption to the team.
4.
TRANSITION PLAN
  • Handover Plan: I will prepare a comprehensive handover document covering all active campaigns, vendor contacts, and budget allocations. All shared drive files will be organized and labeled for easy reference.
  • Key Projects for Transfer: Q2 Brand Refresh Campaign (60% complete, assets in shared drive)
    Annual Customer Survey (scheduled for May, survey drafted)
    Website Redesign Phase 2 (wireframes approved, development pending)
  • I am willing and available to assist with training my replacement during the remaining notice period. I will ensure that all necessary knowledge transfer is completed to the best of my ability, including documenting standard operating procedures, providing access credentials, and conducting walk-through sessions for ongoing initiatives.
  • I am available to participate in an exit interview at a time convenient for HR and management. I welcome the opportunity to provide constructive feedback that may benefit the organization going forward.

ADDITIONAL REQUESTS
  • I respectfully request a formal written letter of reference or professional recommendation from my direct supervisor or an appropriate member of management, to be provided prior to or shortly after my last day of employment.
  • I request full payout of all accrued and unused Paid Time Off (PTO), vacation days, and any other compensable leave balances in accordance with applicable state wage-payment law and company policy, including (as applicable) Cal. Labor Code §§ 201-203 (with waiting-time penalties for late payment of final wages), N.Y. Labor Law § 191, and Tex. Labor Code § 61.014. I understand this payout will be included with or issued separately from my final paycheck.
  • Equipment to Return: MacBook Pro 16" (Asset #MK-4821), company iPhone 15 (Asset #PH-1190), building access badge, parking garage remote. I will ensure all company property is returned in good condition on or before my last day of employment.
  • Forwarding Address. Please direct all final correspondence, including my IRS Form W-2, final pay stub, COBRA continuation-of-coverage election notice under 29 U.S.C. §§ 1161-1168 (which I understand I have 60 days to elect), and any ERISA summary plan and vested-benefit statements under 29 U.S.C. §§ 1053 and 1025, to: 1250 Ocean Avenue, Apt 8C, Los Angeles, CA 90024

PROFESSIONAL OBLIGATIONS
I acknowledge that my employment has been at-will and that this resignation is tendered voluntarily. Upon my departure, I remain bound by any previously executed confidentiality agreements, non-disclosure agreements, assignment-of-inventions agreements, and non-solicitation or non-competition covenants, to the extent each such covenant is enforceable under applicable state law (recognizing, for example, that Cal. Bus. and Prof. Code § 16600 generally voids post-employment non-competes, and that other states impose strict reasonableness and consideration requirements). I will continue to protect the Employer’s trade secrets and confidential information in accordance with the Defend Trade Secrets Act, 18 U.S.C. § 1836, and applicable state trade-secret law, and I have received the statutory whistleblower immunity notice under 18 U.S.C. § 1833(b). I will return all company property, including but not limited to identification badges, access cards, keys, electronic devices, documents, and proprietary materials, on or before my last day of work.
