SALE PRICE AND PAYMENT
The total purchase price is $22,500.00, to be paid via Bank Transfer. Seller acknowledges receipt of this sum in full satisfaction of the purchase price. This Bill of Sale satisfies the writing requirement of UCC Section 2-201 (Statute of Frauds) for sales of goods with a price of $500 or more. Both parties acknowledge that any gain or loss realized on this sale may be a taxable event under 26 U.S.C. Section 1001 and should be reported consistent with applicable federal, state, and local tax law.

WARRANTY DISCLAIMER - UCC Sections 2-313, 2-314, 2-315 and 2-316(2)-(3): SELLER EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTY UNDER UCC SECTION 2-313, THE IMPLIED WARRANTY OF MERCHANTABILITY UNDER UCC SECTION 2-314, AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE UNDER UCC SECTION 2-315. THE BUYER ACKNOWLEDGES THAT THE PROPERTY IS SOLD "AS-IS, WHERE-IS" WITH ALL FAULTS AND DEFECTS, AND THAT THIS "AS IS" LANGUAGE IS CONSPICUOUS WITHIN THE MEANING OF UCC SECTION 2-316(3)(a). NO ORAL OR WRITTEN STATEMENT BY SELLER SHALL CREATE ANY WARRANTY. Where Seller is a consumer-goods merchant and any written warranty is provided, the disclaimer of implied warranties is limited to the extent required by the Magnuson-Moss Warranty Act, 15 U.S.C. Sections 2301-2312, and applicable state consumer-protection statutes (for example, Cal. Bus. and Prof. Code Section 17200 or N.Y. Gen. Bus. Law Section 349).

TITLE AND OWNERSHIP
Seller represents and warrants that Seller is the lawful owner of the above-described property and has the full right and authority to sell and transfer it, free of any claims, liens, or encumbrances of any nature. This warranty of title is made pursuant to UCC Section 2-312, and title shall pass to Buyer in accordance with UCC Section 2-401 upon physical delivery of the property to Buyer.
CLEAR TITLE GUARANTEE (UCC Section 2-312): No financing statement covering the property has been filed under Article 9 of the UCC in any public office. Seller will defend Buyer's title against all lawful claims arising from Seller's prior ownership, and acknowledges that a good-faith purchaser for value takes free of voidable title pursuant to UCC Section 2-403.
CLEAR TITLE GUARANTEE (UCC Section 2-312): No financing statement covering the property has been filed under Article 9 of the UCC in any public office. Seller will defend Buyer's title against all lawful claims arising from Seller's prior ownership, and acknowledges that a good-faith purchaser for value takes free of voidable title pursuant to UCC Section 2-403.

GOVERNING LAW AND ENTIRE AGREEMENT

Where notarization is required or elected, the notarial act shall be performed in accordance with the Revised Uniform Law on Notarial Acts (RULONA) as adopted in the applicable state. This document constitutes the entire agreement between the parties with respect to the sale of the described property and supersedes all prior negotiations, representations, or agreements.
