What Is a South African Tax Invoice?

An invoice is a commercial document issued by a seller or service provider to a buyer that records the goods supplied or services rendered and the amounts payable. In South Africa, VAT-registered vendors are required to issue tax invoices that comply with the Value-Added Tax Act 89 of 1991. A valid South African tax invoice enables the recipient to claim input tax credits from the South African Revenue Service (SARS), reducing the overall VAT cost to the buyer's business.

The VAT Act 89 of 1991 specifies the mandatory information that must appear on a valid South African tax invoice. For invoices where the consideration (the amount including VAT) exceeds R5,000, the invoice must include: the words "tax invoice"; the supplier's name, address, and VAT registration number; the recipient's name, address, and VAT registration number (if the recipient is VAT-registered); a unique invoice number; the date of the invoice; a description of the goods or services; the quantity or volume; the value of the supply; the VAT amount charged; and the total consideration. Simplified invoices may be used for supplies under R5,000.

South Africa's standard VAT rate is 15%. VAT-registered vendors must account for output tax on taxable supplies and may deduct input tax on purchases used in the production of taxable supplies. Vendors are required to register for VAT with SARS if their taxable turnover exceeds R1 million in any 12-month period, or may register voluntarily if their turnover exceeds R50,000. Non-VAT-registered businesses issue standard invoices without charging or claiming VAT. All South African invoices should comply with the Electronic Communications and Transactions Act 25 of 2002 when issued electronically.

How to Create a South African Tax Invoice

VAT Act 89 of 1991 Requirements

A valid South African tax invoice for supplies exceeding R5,000 (including VAT) must contain all mandatory information specified in Section 20 of the VAT Act 89 of 1991. An invoice that omits any mandatory element may be disallowed by SARS as a basis for an input tax claim. SARS has the discretion under Section 20(7) to allow an input tax claim on an invoice that is not fully compliant if it is satisfied that all requirements are substantially met. VAT-registered vendors should implement a system to ensure that all invoices issued and received are fully compliant.

Electronic Invoices and ECTA

Electronic tax invoices are permitted under South African law. Section 20(4A) of the VAT Act allows electronic invoices provided the authenticity of origin and the integrity of the content are maintained. The Electronic Communications and Transactions Act 25 of 2002 (ECTA) recognises electronic documents and data messages as the equivalent of paper documents for most commercial purposes. Electronic invoices should be issued in a non-editable format such as PDF, and records must be retained for 5 years as required by SARS.

Interest on Late Payments

South Africa does not have a general statutory right to interest on late commercial payments, unlike some other jurisdictions. The Prescribed Rate of Interest Act 55 of 1975 sets a prescribed rate of interest applicable to court judgments and, in certain circumstances, to contractual debts where no rate is agreed. Businesses should include an express clause in their invoices and service agreements specifying the interest rate chargeable on overdue amounts. The agreed rate must not be extortionate or contrary to the National Credit Act 34 of 2005 where applicable.
