1.
PARTIES
This Photography Contract ("Agreement") is entered into as of the date last signed below by and between:

Clarity Photo Studio, with a business address at 420 Arts District Blvd, Suite 8, Austin, TX 78701 (License No. TX-BUS-2024-07821) ("Photographer"), and

Emily and David Chen, with an address at 1500 Riverside Drive, Austin, TX 78704 ("Client").

Photographer and Client may be referred to individually as a "Party" and collectively as the "Parties."
2.
SERVICES
Photographer agrees to provide wedding photography services to Client as described in this Agreement. The photography session/event details are as follows:

Date: June 14, 2026
Time: 2:00 PM - 10:00 PM
Location: Lakewood Estate, 200 Lakeshore Drive, Dripping Springs, TX 78620
Duration: 8 hours
Photographers: 2 (Second Shooter: Jane Roberts)

Photographer shall arrive at the designated location at the agreed-upon time and shall provide professional photography services in accordance with Photographer's standard of quality. Photographer shall use professional-grade equipment and exercise reasonable skill and care in the performance of services.

The specific style, poses, locations within the venue, and creative direction shall be discussed and agreed upon between Photographer and Client prior to the event date. While Photographer will make every reasonable effort to accommodate Client's specific requests and shot list, Photographer retains creative discretion over the final artistic interpretation and editing style of the photographs.

Wedding-Specific Terms: Photographer shall cover the key moments of the wedding day, including but not limited to: preparations, ceremony, formal portraits, and reception (as applicable to the contracted hours). Client is responsible for ensuring Photographer has reasonable access to the venue and subjects during the event. Client acknowledges that Photographer cannot guarantee specific shots if access is restricted, lighting conditions are unfavorable, or if guests or other vendors interfere with Photographer's ability to capture images.
3.
CLIENT COOPERATION
Client agrees to cooperate fully with Photographer to ensure successful completion of the photography services. Client's obligations include:

  • Providing Photographer with a detailed timeline, shot list, and any specific requests at least fourteen (14) days prior to the event date.
  • Ensuring Photographer has adequate access to the venue, subjects, and any areas necessary for photography coverage.
  • Designating a contact person who will be available on the event date to assist Photographer with coordinating group shots, identifying key persons, and addressing logistical questions.
  • Informing Photographer of any venue restrictions, photography limitations, or special requirements (such as restrictions on flash photography, drone use, or specific areas that are off-limits).
  • Ensuring that other vendors (videographers, DJs, planners) are aware of Photographer's need for unobstructed access during key moments.
Client acknowledges that failure to cooperate or communicate necessary information may result in limitations on the photographs that can be captured, and Photographer shall not be held liable for any resulting gaps in coverage.
4.
COMPENSATION AND PAYMENT
Package Price: 4,500.00 USD

Deposit: A non-refundable retainer deposit of 1,500.00 USD is required to secure the date and confirm the booking. The deposit is due on or before March 14, 2026. This deposit shall be credited toward the total package price. The booking is not confirmed until the deposit is received by Photographer. If the deposit is not received by the due date, Photographer reserves the right to release the date for other bookings.

Balance Due: The remaining balance of 3,000.00 USD is due on or before June 7, 2026.

Overtime Rate: If Client requests coverage beyond the contracted hours, additional time will be billed at a rate of 300.00 USD per hour, prorated in thirty (30) minute increments. Overtime must be requested and confirmed on the day of the event.

Travel Fees: A travel fee of 150.00 USD applies to cover transportation, fuel, tolls, and/or accommodations required for the event location. Travel fees are non-refundable once incurred.

Late Payment: Payments not received by the due date shall incur a late fee of $25.00 or 1.5% of the outstanding balance (whichever is greater) for each fifteen (15) days the payment remains past due. Photographer reserves the right to suspend delivery of photographs and withhold all undelivered files until all outstanding amounts are paid in full.
5.
DELIVERABLES
Deliverables: Photographer shall deliver a minimum of 600 professionally edited photographs in the following format: Digital files via online gallery. To the extent the deliverables include tangible prints, albums, or other physical goods, that portion of the transaction is governed by Article 2 of the Uniform Commercial Code as enacted in the governing state.

Delivery Timeline: Photographs shall be delivered within 8 weeks of the event date. Photographer shall provide Client with a private online gallery for viewing and downloading digital files. The online gallery shall remain accessible for a minimum of ninety (90) days from the date of delivery.

Editing: All delivered photographs shall be professionally edited by Photographer, including color correction, exposure adjustment, cropping, and Photographer's signature editing style. Photographer reserves the right to determine the final editing style. Client may not apply additional filters, alter, or edit photographs that are used publicly or credited to Photographer.

Raw Files: Raw (unedited) files are NOT included in this package and will not be provided to Client. Raw files remain the exclusive property of Photographer. Additional raw file packages may be available for purchase at Photographer's then-current rates.

Print Release: Client is granted a personal print release, authorizing the reproduction of the delivered photographs for personal, non-commercial use. This release does not include commercial licensing rights. Client may print photographs at any lab or printing service of their choosing.
6.
COPYRIGHT AND INTELLECTUAL PROPERTY
Copyright Ownership: Photographer is the author and initial owner of all copyright in the photographs created under this Agreement pursuant to 17 U.S.C. Sections 102 and 201(a). These photographs are not a "work made for hire" within the meaning of 17 U.S.C. Section 101, and any transfer of exclusive rights would be effective only if reduced to a signed writing as required by 17 U.S.C. Section 204(a). All images are protected by the Copyright Act (17 U.S.C. Section 101 et seq.) and may not be reproduced, distributed, displayed, or used in any manner without Photographer's express written permission, except as specifically granted in this Agreement.

License Grant: Photographer grants Client a non-exclusive, non-transferable, perpetual license to use the delivered photographs for personal, non-commercial purposes, including social media posting, personal printing, and sharing with friends and family. Infringement of Photographer's copyright by any party may be addressed through remedies available under the Copyright Act, including takedown procedures under 17 U.S.C. Section 512 (DMCA). The personal print release included with this Agreement authorizes Client to reproduce photographs for personal use only.
7.
MODEL RELEASE
By signing this Agreement, Client hereby grants Photographer permission to use the photographs of Client and any individuals present at the event for the purposes described herein. Client represents and warrants that Client has the authority to grant such permission on behalf of all individuals who will be photographed. This model release is intended to satisfy the state-law right-of-publicity statutes governing the commercial use of a person's name, image, and likeness, including but not limited to California Civil Code Sections 3344 and 3344.1, New York Civil Rights Law Sections 50 and 51, Indiana Code Section 32-36-1 et seq., and analogous common-law rights of publicity recognized in other states.

Minors: Where any photographed subject is under the age of eighteen (18), Client represents and warrants that Client has obtained written consent from each such minor's parent or legal guardian prior to the session. If photographs of minors will be collected, stored, or distributed through an online service directed to children under thirteen (13), the Parties shall comply with the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. Sections 6501 et seq., and 16 C.F.R. Part 312.

Endorsement and Sponsored Content: If any photograph will be used by Client or Photographer as an endorsement, testimonial, or sponsored-content placement, the Parties shall comply with the FTC Endorsement Guides at 16 C.F.R. Part 255, including required disclosure of material connections.

Client consents to the use of their name, image, and likeness in photographs taken under this Agreement for the following purposes:

  • Photographer's professional portfolio and website
  • Social media accounts and online galleries operated by Photographer
  • Industry publications, photography contests, and educational materials
  • Marketing and advertising materials for Photographer's business
Client may revoke this model release at any time by providing written notice to Photographer. Upon receipt of such notice, Photographer shall make commercially reasonable efforts to remove Client's images from Photographer's marketing materials within thirty (30) days, except where such images have already been published in third-party publications or printed materials.
8.
PORTFOLIO AND MARKETING USE
Client grants Photographer permission to use photographs from this event for Photographer's portfolio, website, social media accounts, blog, industry submissions, and marketing materials. Photographer shall use reasonable discretion in selecting photographs for portfolio use and shall not use photographs in a manner that would embarrass or harm Client's reputation.

This permission is granted regardless of the copyright ownership arrangement specified in this Agreement. Photographer agrees to credit Client when requested and to remove specific images from portfolio use upon written request by Client, subject to the limitations described in the Model Release section above.
9.
CANCELLATION AND RESCHEDULING
Cancellation by Client: If Client cancels this Agreement more than thirty (30) days prior to the event date, Client shall forfeit the deposit but shall not be liable for the remaining balance. If Client cancels within thirty (30) days of the event date, Client shall be liable for fifty percent (50%) of the total package price. If Client cancels within fourteen (14) days of the event date, Client shall be liable for the full package price. All cancellations must be made in writing.

Cancellation by Photographer: If Photographer is unable to perform the services due to illness, injury, or other unforeseen circumstances, Photographer shall promptly notify Client and make reasonable efforts to secure a qualified replacement photographer at no additional cost to Client. If a replacement cannot be found, Photographer shall refund all payments received in full. Photographer's liability in such event shall be limited to the return of all payments made by Client.

Date Change / Postponement: If Client requests to change the event date, Photographer will make reasonable efforts to accommodate the new date, subject to availability. A date change requested more than thirty (30) days prior to the original event date may be accommodated without penalty, subject to Photographer's availability. Date changes requested within thirty (30) days of the original event date may be subject to a rescheduling fee. If Photographer is unavailable on the new date, the cancellation policy above shall apply.
10.
FORCE MAJEURE
Consistent with the common-law doctrine of impossibility of performance (see Taylor v. Caldwell, 3 B. and S. 826 (1863), as applied by the state enactments of Restatement (Second) of Contracts Sections 261-265), neither Party shall be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from circumstances beyond the reasonable control of that Party, including but not limited to: acts of God, natural disasters, severe weather, epidemics or pandemics, fire, flood, earthquake; government orders, travel bans, venue closures, or public gathering restrictions; war, terrorism, civil unrest, or similar events; or other extraordinary circumstances that make performance impracticable ("Force Majeure Event").

In the event of a Force Majeure Event that prevents the photography session or event from taking place, the Parties agree to reschedule the event to a mutually agreeable date within six (6) months of the original event date. All payments made shall be applied to the rescheduled date. If the Parties cannot agree on a rescheduled date within six (6) months, Client shall be entitled to a full refund of all payments made, less any non-recoverable expenses already incurred by Photographer (such as travel bookings or venue deposits).
11.
EQUIPMENT FAILURE
Photographer shall use professional-grade equipment and shall maintain backup equipment for use in the event of equipment malfunction. In the unlikely event that equipment failure, memory card corruption, or other technical issues result in the loss of photographs, Photographer's liability shall be limited to the return of all fees paid by Client under this Agreement.

Photographer carries professional liability insurance and maintains industry-standard data backup procedures, including dual memory card recording where equipment permits. However, Client acknowledges that no data storage method is completely infallible and that the inherent risk of data loss, while minimal with professional procedures, cannot be entirely eliminated.
12.
LIMITATION OF LIABILITY
IN NO EVENT SHALL PHOTOGRAPHER'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CLIENT UNDER THIS AGREEMENT.

PHOTOGRAPHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO EMOTIONAL DISTRESS, LOSS OF IRREPLACEABLE MOMENTS, OR LOSS OF SENTIMENTAL VALUE, ARISING OUT OF OR RELATED TO THIS AGREEMENT, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE.

Client acknowledges that photography is inherently subject to variables beyond Photographer's control, including but not limited to: lighting conditions, weather, venue restrictions, subject cooperation, and the actions of third parties. Photographer shall use reasonable professional skill and care but cannot guarantee specific results or that every moment will be captured.
13.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in the State of Texas, and the Parties hereby consent to personal jurisdiction and venue therein.
14.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties with respect to the photography services described herein and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. No amendment or modification of this Agreement shall be valid unless made in writing and signed by both Parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The waiver by either Party of any breach shall not constitute a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original.

By signing below, both Parties acknowledge that they have read, understand, and agree to be bound by the terms and conditions of this Agreement.

What Is a Photography Contract?

A photography contract is a legally binding agreement between a photographer and a client that defines the scope of a photo shoot, payment terms, image usage rights, and the responsibilities of each party. Copyright Ownership Under Federal Law

Under 17 U.S.C. Section 201(a), the author of a photograph (the photographer) is the initial copyright owner. The only exceptions are works made for hire, where the photographer is an employee creating images within the scope of employment, or where both parties sign a written agreement designating the work as a work for hire in one of nine statutory categories. Independent contractor photographers almost never qualify as work-for-hire creators, so a separate written copyright transfer is required if the client wants to own the images.

Right of Publicity and Model Releases

Most US states recognize a right of publicity that prevents the commercial use of a person's likeness without consent. If the images will be used in advertising, marketing, or product packaging, the photographer or client should obtain a signed model release from each identifiable person in the photos. The photography contract can include a built-in model release clause for the client, but separate releases may be needed for other subjects.

Retainers vs. Deposits

The legal distinction between a retainer and a deposit matters. A retainer is typically non-refundable and compensates the photographer for reserving the date. A deposit is a partial payment toward the total fee and may be refundable depending on the terms. Using the correct terminology in the contract affects what happens in a cancellation dispute. Most photography industry contracts use non-refundable retainers.

Limitation of Liability for Equipment Failure

U.S. photography contracts commonly include a limitation of liability clause capping the photographer's total liability at the amount paid under the contract. This protects the American photographer in rare cases of equipment failure, memory card corruption, or other technical issues that result in lost images. Courts generally enforce these clauses when they are clearly stated and not unconscionable.
