What Is a Demand Letter?
A demand letter is a formal written communication that puts another party on notice of a claim and calls upon them to do (or stop doing) something by a stated deadline. It is often the first step before litigation and is used for unpaid invoices, breach of contract, return of goods, breach of confidentiality, and many other civil claims.
In Ireland, while there is no general statutory requirement to send a demand letter before starting proceedings, doing so is strongly expected by the courts. A reasonable pre-action demand demonstrates good faith, reduces costs and often resolves the dispute without court involvement. Under the Rules of the Superior Courts and the Circuit Court Rules, a failure to engage with reasonable pre-action correspondence can affect costs orders.
Under Irish law, the Mediation Act 2017 requires solicitors to advise clients of the benefits of mediation before issuing civil proceedings, and a demand letter can serve as an invitation to mediate. For debt claims in Ireland, the Statute of Limitations 1957 sets a six-year limitation period for simple contract debts, which should be borne in mind when issuing a demand.

Legal Considerations in Ireland
An effective demand letter must be fair, factually accurate and issued within the applicable limitation period.
This template is for information only and is not legal advice. For complex or high-value claims, consult an Irish solicitor before issuing a demand letter.
Drafted for Irish law
Limitation Periods
Under Irish law, the Statute of Limitations 1957 requires that most simple contract claims (including debt) must be brought within six years. Tort claims are typically subject to a six-year period in Ireland, with personal injury claims two years. Issuing a demand letter within the limitation period is essential; the letter itself does not stop the clock.
Pre-Action Conduct and Costs
Irish courts expect parties to engage reasonably before issuing proceedings. Unreasonable failure to respond to a demand letter, or unreasonable refusal to mediate, can influence costs under Order 99 of the Rules of the Superior Courts.
Late Payment Interest
Where the claim is for an overdue commercial invoice, the European Communities (Late Payment in Commercial Transactions) Regulations 2012 entitle the supplier to statutory interest at the ECB rate plus 8% and €40 compensation per overdue invoice. The demand should calculate and include these amounts.
Harassment and Good Faith
Demand letters must be truthful and proportionate. Threatening criminal prosecution to secure a civil debt is improper, and persistent, harassing correspondence may breach the Non-Fatal Offences Against the Person Act 1997 or the Consumer Protection Act 2007 in consumer contexts.
