This Product Purchase Agreement (this "Agreement") is entered into as of 15 April 2026 between Celtic Goods Ireland Ltd. (the "Seller") and Aoife Breathnach (the "Buyer"). The Seller agrees to sell and the Buyer agrees to purchase the goods described herein on the terms and conditions set out below. This is a consumer sale and the Buyer's statutory rights under the Consumer Rights Act 2022 (CRA 2022) apply.
1.
AGREEMENT TO PURCHASE
The Seller agrees to sell and transfer to the Buyer, and the Buyer agrees to purchase from the Seller, the goods described in Clause 2 below (the "Goods") for the purchase price set out in Clause 3, subject to the terms and conditions of this Agreement.
2.
PRODUCT DESCRIPTION
The Goods the subject of this Agreement are as follows:

Description: Handcrafted solid oak dining table, 200cm × 90cm, dark walnut finish, with 6 matching upholstered chairs. Model: OAK-DT-200. Made in Ireland.
Quantity: 1 set (table + 6 chairs)

The Seller warrants that the Goods correspond to the above description. Any sample, model or catalogue description provided to the Buyer is for illustrative purposes only; the Goods supplied shall conform to the agreed description.
3.
PURCHASE PRICE
The purchase price for the Goods is as follows:

Price (ex-VAT): EUR 1,200.00
VAT at 23%: EUR 276.00
Total Price (incl. VAT): EUR 1,476.00

Value Added Tax (VAT) is charged at 23% in accordance with the Value-Added Tax Consolidation Act 2010. The Seller's VAT registration number is IE 1234567T. A VAT invoice shall be issued to the Buyer upon payment.
4.
PAYMENT TERMS
The Buyer shall pay the full purchase price of EUR 1,476.00 by 15 April 2026 by Bank transfer (SEPA) or Stripe. For B2C sales, payment shall be taken in accordance with the Buyer's rights as a consumer. Time for payment shall be of the essence.
5.
DELIVERY
The Seller shall deliver the Goods to Buyer's address — 7 Lakelands Drive, Naas, Co. Kildare by 30 April 2026. Delivery costs: EUR 45.00 — included in the total price.

Risk of loss or damage to the Goods shall pass to the Buyer on delivery in accordance with the Sale of Goods Act 1893. The Seller shall ensure the Goods are properly packaged and labelled for delivery. If the Seller fails to deliver by the agreed date, the Buyer shall be entitled to cancel the order and receive a full refund.
6.
TITLE TRANSFER
Legal and beneficial title to the Goods shall not pass to the Buyer until payment of the full purchase price has been received in cleared funds by the Seller (a "retention of title" provision, also known as a Romalpa clause, following Aluminium Industrie Vaassen BV v Romalpa Aluminium Ltd [1976] 1 WLR 676, as applied in Ireland). Until title passes: (a) the Buyer shall hold the Goods as bailee for the Seller; (b) the Buyer shall keep the Goods clearly identified as the Seller's property; and (c) the Seller may repossess the Goods on giving reasonable notice. Risk passes to the Buyer on delivery, notwithstanding that title has not yet passed.
7.
CONSUMER WARRANTIES — STATUTORY RIGHTS (CRA 2022)
For consumer sales, the following statutory guarantees apply under the Consumer Rights Act 2022 (CRA 2022):

(a) Conforming quality: The Goods must be of satisfactory quality, taking into account their description, price, and all other relevant circumstances (CRA 2022 s. 40);

(b) Fit for purpose: The Goods must be fit for any purpose made known to the Seller at the time of contracting (CRA 2022 s. 40);

(c) As described: The Goods must conform to any description, sample or model provided by the Seller (CRA 2022 s. 39).

These statutory guarantees apply for a minimum period of two (2) years from the date of delivery. During the first twelve months, it is presumed that any lack of conformity existed at the time of delivery (CRA 2022 s. 57).

If the Goods do not conform, the Buyer is entitled to: (1) repair; (2) replacement; or (3) a price reduction or full refund — in that order of priority under the CRA 2022. These statutory rights are in addition to any commercial warranty offered by the Seller.

Commercial Warranty: In addition to the statutory minimum, the Seller provides a 2 years commercial warranty against defects in materials and workmanship commercial warranty against defects in materials or workmanship.
8.
RETURNS AND REFUNDS
Statutory Rights: The Buyer's statutory rights to a repair, replacement or refund under the CRA 2022 and the Sale of Goods and Supply of Services Act 1980 (SGSS 1980) s. 22 (implied term of satisfactory quality) are not affected by any terms of this Agreement. These rights cannot be excluded or restricted for consumer sales.

Goodwill Returns Policy: Items may be returned within 30 days of delivery in original, undamaged packaging for a full refund (minus delivery costs). Bespoke or custom-finished items are non-returnable except for statutory defects under CRA 2022.
9.
DATA PROTECTION
The Seller processes the Buyer's personal data (name, address, contact details) for the purpose of performing this Agreement, including processing the order, managing delivery and handling returns. Processing is lawful under Article 6(1)(b) GDPR (performance of a contract) as implemented by the Data Protection Acts 1988–2018 (DPA 2018). The Seller shall not share the Buyer's personal data with third parties except as necessary to fulfil the order (e.g. delivery carriers) or as required by law. The Buyer has the right to access, rectify, erase, and object to the processing of their personal data. The Seller's full privacy policy is available on request or at the Seller's website.
10.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of Ireland. The parties submit to the exclusive jurisdiction of the courts of Ireland for the resolution of any dispute arising out of or in connection with this Agreement. Nothing in this clause affects the Buyer's rights under EU consumer protection legislation, including the right to commence proceedings in the courts of the Buyer's domicile.
11.
GENERAL PROVISIONS
Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the sale of the Goods and supersedes all prior negotiations and understandings. Amendment: No amendment shall be effective unless made in writing and signed by both parties. Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force. Force Majeure: Neither party shall be liable for delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control. Counterparts: This Agreement may be executed in counterparts, including electronic counterparts, each of which shall be deemed an original.

What Is a Product Purchase Agreement?

Consumer Rights Act 2022

The Consumer Rights Act 2022 transposes EU Directive 2019/771 and Directive 2019/770 and modernises Irish consumer law. It gives consumers rights to short-term rejection, repair, replacement, price reduction and termination where goods do not conform to the contract. Businesses selling to consumers cannot contract out of these rights.

Sale of Goods Act 1893 and 1980 Act

Where the buyer is a business, the Sale of Goods Act 1893 (as updated by the Sale of Goods and Supply of Services Act 1980) applies. It implies fundamental terms about title (section 12), correspondence with description (section 13) and merchantable quality (section 14 as amended).
