This Photography Services Contract (this "Agreement") is entered into on 2026-03-20 between James Chen Photography Ltd (Company No. 12483921) of Studio 4, 22 Camden Road, London, NW1 0AB (the "Photographer") and Sarah Elizabeth Mitchell and Thomas Andrew Brooks of 14 Elm Crescent, Manchester, M20 6HJ (the "Client"). The Client is entering into this Agreement as a consumer within the meaning of section 2(3) of the Consumer Rights Act 2015. The parties agree as follows.
1.
PHOTOGRAPHY SERVICES
The Photographer shall provide wedding photography services on 2026-07-12 commencing at 10:00, for an estimated duration of 8 hours (full day), at Thornbury Castle, Castle Street, Thornbury, BS35 1HH. The Photographer shall perform the Services with reasonable care and skill and in accordance with the standard expected of a competent professional photographer, as required by section 49 of the Consumer Rights Act 2015 (reasonable care and skill), section 51 (reasonable price where not agreed) and section 52 (performance within a reasonable time). The Photographer's implied obligations under sections 49-52 CRA 2015 cannot be excluded or restricted (CRA 2015 s.57).
2.
FEES, DEPOSIT AND PAYMENT
The total fee for the Services is £2,500 (exclusive of VAT, which shall be added at the prevailing rate). A non-refundable booking deposit of £500 is payable on signature of this Agreement to secure the booking date. The remaining balance is due no later than fourteen (14) days before the shoot date. The deposit represents compensation for reserving the date and turning away other bookings, and is a genuine pre-estimate of loss consistent with the principles in Cavendish Square Holding BV v Makdessi [2015] UKSC 67. All travel and standard subsistence expenses within a reasonable radius of the Photographer's studio are included in the total fee.
3.
CLIENT OBLIGATIONS
The Client shall: (a) provide accurate and complete information regarding the event, venue and any specific requirements; (b) obtain all necessary venue consents, permits and permissions for photography at the specified location(s), including any church, listed-building, national-trust or private-estate permissions; (c) ensure reasonable access, time and cooperation for the Photographer, including reasonable breaks for meals and rest; (d) inform the Photographer of any access restrictions, lighting limitations, flash prohibitions or other conditions that may affect photography; (e) ensure that all individuals to be photographed have given informed consent to being photographed and, where personal data is involved, to the processing described in this Agreement; and (f) pay all invoices in accordance with clause 2.
4.
STATUTORY RIGHT OF CANCELLATION
The Client acknowledges that this Agreement is a distance contract under regulation 5 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (SI 2013/3134) and, as such, the Client has a statutory right to cancel within 14 days of entering into the Agreement, without giving any reason, in accordance with regulation 29. The Client expressly requests that the Photographer begin performance of the Services (including pre-shoot preparation, site visits, travel arrangements and reservation of the shoot date) during the 14-day cancellation period. The Client acknowledges that, if the Client exercises the right to cancel after performance has begun, the Client shall pay the Photographer an amount proportionate to the work already performed, in accordance with regulation 36(4). If the Services have been fully performed before the end of the 14-day period at the Client's express request, the right to cancel is lost under regulation 36(2).
5.
DELIVERABLES AND TIMELINE
The Photographer shall deliver approximately 400 professionally edited, high-resolution (minimum 300 DPI) images within 6 weeks of the shoot date. Images shall be delivered via a private, password-protected online gallery available for download for a minimum of 60 days. The Photographer shall provide a complimentary "sneak peek" selection of 3-5 edited images within 72 hours of the shoot. The Photographer shall provide a qualified second photographer or assistant for the duration of the shoot. The Photographer confirms the use of professional-grade equipment with redundant storage (dual memory cards) during capture and a minimum of two offline backup copies before any digital file is deleted from camera media. Image selection and editing style are at the Photographer's professional discretion, consistent with samples previously shown to the Client.
6.
COPYRIGHT, LICENCE AND MORAL RIGHTS
Copyright in all Photographs vests in the Photographer as first owner under section 11(1) CDPA 1988. The Photographer grants the Client a non-exclusive, worldwide, perpetual, royalty-free licence to use, reproduce and display the Photographs for personal, non-commercial purposes only, including personal social media, private printing, personal display and sharing with friends and family. Commercial, editorial or promotional use requires a separate written licence. The Photographer asserts the moral rights of paternity and integrity under sections 77-85 CDPA 1988. The Client shall, where reasonably practicable, credit the Photographer ("Photo: James Chen Photography Ltd") whenever the Photographs are published or displayed publicly. The Photographer shall not use any Photograph in a manner that is derogatory or prejudicial to the Client's honour or reputation.
7.
MODEL RELEASE AND PORTFOLIO USE
The Client consents, and warrants that it has obtained the consent of all identifiable individuals in the Photographs, to the Photographer's use of such Photographs for the Photographer's portfolio, website, social media, competitions, exhibitions and marketing materials. Subject to any specific confidentiality requirements notified in writing before the shoot, the Photographer may use a reasonable selection of the Photographs in the Photographer's professional portfolio, case studies, website, editorial submissions and social media for the purpose of promoting the Photographer's business. Where the Client shares any Photograph on social media, the Client shall tag or credit the Photographer's professional account where reasonably practicable.
8.
DATA PROTECTION AND PRIVACY
The Photographer shall process personal data contained in the Photographs (including the images of identifiable individuals) in accordance with the UK GDPR, the Data Protection Act 2018 and the ICO's guidance. The lawful basis for processing is Article 6(1)(b) UK GDPR (performance of this contract with the Client) and, in relation to non-contracting individuals depicted, Article 6(1)(f) (legitimate interests of recording the event), balanced against their reasonable expectations in the context of wedding photography. Photographs shall be retained on the Photographer's secure systems for a minimum of 12 months and, unless a longer archive is agreed, for a maximum of 7 years for business-record purposes. Data subjects may exercise their rights under Chapter III UK GDPR (access, rectification, erasure, restriction, objection) by writing to the Photographer. The Photographer has in place appropriate technical and organisational measures (Article 32) including encrypted storage and access controls. Nothing in this Agreement affects any rights under Article 8 of the European Convention on Human Rights, as given effect by the Human Rights Act 1998, or any common-law duty of confidence (see Douglas v Hello! Ltd (No 3) [2007] UKHL 21).
9.
CANCELLATION AND REFUND POLICY
Either party may cancel this Agreement by giving written notice to the other. Cancellation by the Client: (a) 60 or more days before the shoot — full refund less any non-refundable deposit; (b) 30 to 59 days before the shoot — 50% refund less any non-refundable deposit; (c) fewer than 30 days before the shoot — no refund. Any non-refundable deposit is retained in all circumstances. Cancellation by the Photographer: if the Photographer cancels for any reason other than force majeure or the fault of the Client, the Photographer shall refund all sums paid in full and shall use reasonable endeavours to recommend a suitable replacement photographer of similar standing. This clause does not affect the Client's statutory rights under the Consumer Rights Act 2015 or, where applicable, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
10.
FORCE MAJEURE
Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, severe weather, fire, flood, epidemic, pandemic (including Government-mandated restrictions), civil commotion, terrorism, strikes, failure of transport, power or telecommunications, or the illness or incapacity of the Photographer, provided that the affected party gives written notice as soon as reasonably practicable. Where the Photographer is unable to attend the shoot by reason of force majeure, the Photographer shall use reasonable endeavours to arrange a suitable replacement photographer of similar standing at no additional cost to the Client; if no such replacement is available, the parties shall first seek to reschedule to the next mutually available date, failing which the Photographer shall refund all sums paid less reasonable costs already incurred in preparation for the shoot.
11.
LIABILITY AND LIMITATION
Subject to the paragraph below, the Photographer's total aggregate liability arising out of or in connection with this Agreement (whether in contract, tort (including negligence), for breach of statutory duty or otherwise) shall not exceed the total fee payable under this Agreement (£2,500). The Photographer shall not be liable for any indirect, consequential or special loss, including loss of profit, loss of opportunity or reputational damage, or for any loss of or damage to images caused by events outside the Photographer's reasonable control (e.g. catastrophic equipment failure despite reasonable backup, memory-card corruption, theft of storage media). The Photographer uses professional-grade equipment with redundant in-camera storage and offline back-up to minimise such risk. Nothing in this Agreement limits or excludes the Photographer's liability for: (a) death or personal injury caused by negligence (UCTA 1977 s.2(1) / CRA 2015 s.65); (b) fraud or fraudulent misrepresentation (Misrepresentation Act 1967); (c) any breach of the Consumer Rights Act 2015 that cannot be excluded by law (where the Client is a consumer); or (d) any other liability that cannot be excluded or limited as a matter of law.
12.
LATE PAYMENT
Without prejudice to any other right or remedy, if the Client fails to pay any sum due under this Agreement by the due date, the Photographer shall be entitled to charge statutory interest at 8% above the Bank of England base rate from the due date until payment is made in full. Payment shall be made without deduction or set-off.
13.
DISPUTE RESOLUTION
Before commencing court proceedings (other than for urgent injunctive or equivalent relief), the parties shall attempt in good faith to resolve any dispute arising out of this Agreement by mediation in accordance with the CEDR Model Mediation Procedure. If the dispute is not resolved within 30 days of the commencement of the mediation, either party may commence proceedings in the courts of England and Wales. Nothing in this clause affects the Client's right to bring a complaint to an approved Alternative Dispute Resolution body or to the trading-standards service.
14.
GENERAL PROVISIONS
Entire agreement: This Agreement constitutes the entire agreement between the parties in respect of its subject matter and supersedes all prior negotiations and representations, save that nothing limits liability for fraud or fraudulent misrepresentation. Variation: No variation is effective unless in writing and signed by or on behalf of both parties. Waiver: No failure or delay in exercising any right operates as a waiver. Severance: If any provision is or becomes invalid, it shall be deemed modified to the minimum extent necessary, and the remaining provisions shall continue in full force. Assignment: The Client shall not assign this Agreement without the Photographer's prior written consent. Third-party rights: A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term. Notices: Notices may be served by email to the addresses above and shall be deemed received on the next business day. Counterparts: This Agreement may be executed in counterparts, including by electronic signature, each of which when executed constitutes a duplicate original.
15.
GOVERNING LAW AND JURISDICTION
This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
