Landlord pays all operating expenses (taxes, insurance, CAM). Tenant pays base rent only. Common for multi-tenant office buildings.

Zoning Responsibility: Tenant is solely responsible for verifying that the intended use complies with local zoning ordinances and obtaining all required business licenses and permits before occupying the premises. Landlord makes no warranty as to the suitability of the premises for any particular use.

Be specific. Courts enforce this clause strictly - vague permitted use descriptions lead to disputes.

No exclusivity protection - Landlord may lease to competing businesses in the same property.

Tenant accepts premises in current condition. No build-out allowance or improvements by Landlord.

Landlord is responsible for ADA compliance of common areas, building entrance, and structural elements. This allocation is effective only between the parties - both Landlord and Tenant retain independent statutory liability to disabled individuals under the ADA regardless of this clause.

Landlord Protection: A personal guaranty makes a principal of the Tenant entity personally liable for lease obligations if the business entity defaults. Essential when leasing to new businesses without established credit history.

No personal guaranty. Landlord's recourse is limited to the Tenant entity.
